A reference to Momentum Digital Commerce LLC in these Terms includes any brand, website or online store owned or operated by the Company unless expressly stated otherwise.

2. ELIGIBILITY

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to purchase our products or services independently.

Individuals under the age of legal majority may only use our products or services with the authorization and supervision of a parent or legal guardian.

Failure to immediately locate a delivery email does not automatically mean that the product was not delivered.

8. ACCESS TO DIGITAL CONTENT

The duration of access to digital content will be the period stated on the applicable sales or checkout page.

Unless a product is expressly advertised as including lifetime access, access is not guaranteed indefinitely.

When “lifetime access” is expressly offered, it means access for as long as the relevant product and delivery platform continue to be operated by the Company. It does not mean the lifetime of the purchaser or an unconditional obligation to operate the product forever.

We may update, reorganize or migrate digital content to another platform when reasonably necessary.

You are responsible for:

12. EDUCATIONAL AND INFORMATIONAL PURPOSES

Our digital products, courses, consulting services and mentorship services are provided for educational and informational purposes.

Unless expressly stated in a separate written agreement, our content and services do not constitute:

14. CONSULTING, MENTORSHIP AND SCHEDULED SERVICES

Consulting, mentorship or scheduled educational services may be subject to additional terms disclosed on the relevant product page, proposal, booking page or written agreement.

You are responsible for attending scheduled sessions at the agreed time.

Cancellation, rescheduling and missed-session rules will be governed by the conditions displayed when the service is purchased or booked.

Unless otherwise stated:

  • Sessions are for the purchaser only
  • Missed sessions may be considered delivered
  • Rescheduling requests must be made within the stated notice period
  • Unused sessions may expire after the stated validity period
  • Consulting does not guarantee implementation or results

Where additional written service terms conflict with these general Terms, the more specific written service terms will control for that service.

15. REFUNDS AND CANCELLATIONS

Refund eligibility is governed by our separate Refund Policy, which is incorporated into these Terms by reference.

You should review the Refund Policy before completing a purchase.

Because digital products may be delivered or made accessible immediately after purchase, certain purchases may become non-refundable once access, delivery or downloading has occurred, except where a refund is required by applicable law or expressly permitted by our Refund Policy.

The following circumstances do not automatically create a right to a refund:

16. PAYMENT DISPUTES AND CHARGEBACKS

If you believe a charge is incorrect or you experience a problem with your order, please contact us first at hola@momentumacademia.digital so that we can investigate and attempt to resolve the issue.

You retain any rights available through your bank, card issuer or applicable law.

However, filing a payment dispute does not automatically cancel your obligations under these Terms.

We may suspend access to the disputed product or service while a chargeback or payment dispute is being investigated.

We may provide the payment processor or financial institution with relevant transaction information, including:

  • Proof of digital delivery
  • Login or access records
  • Customer communications
  • Acceptance of these Terms
  • Refund Policy information
  • Other evidence reasonably related to the transaction

Fraudulent, abusive or intentionally false payment disputes may result in termination of access and restriction of future purchases.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

You may not use our services in violation of applicable export restrictions, economic sanctions or other legal prohibitions.

27. GOVERNING LAW AND JURISDICTION

These Terms and any dispute arising from them will be governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

Subject to any mandatory consumer rights or jurisdictional rules that apply to you, disputes shall be submitted to the state or federal courts located in Wyoming, United States.

Before filing a legal claim, the parties agree to make a reasonable good-faith effort to resolve the matter informally by written communication.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief when reasonably necessary to protect intellectual property, confidential information or system security.

28. ELECTRONIC COMMUNICATIONS AND ACCEPTANCE

You consent to receive agreements, notices, disclosures and other communications electronically.

You agree that electronic records, checkboxes, checkout confirmations and other electronic methods of acceptance may evidence your agreement to these Terms.

You are responsible for maintaining copies of records relevant to your purchases.

29. CHANGES TO THESE TERMS

We may update these Terms to reflect changes in:

33. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Refund Policy and any product-specific terms presented at checkout, constitute the entire agreement between you and Momentum Digital Commerce LLC regarding your use of the applicable product or service.

If product-specific terms conflict with these general Terms, the product-specific terms will control solely with respect to that product or service.
